Terms of Service

1. Who These Terms Apply To

These Terms of Service ("Terms") govern your use of the AutoJate website (autojate.com) and any services provided by Financial Independence For All, LLC, a Texas limited liability company doing business as AutoJate ("AutoJate," "we," "us," or "our"), operated by J. Ritter. By accessing the site, booking a call, commissioning the Audit, or engaging us for a Setup, you agree to these Terms.

2. What We Provide

AutoJate is a consulting and build practice for owner-operator service businesses. We deliver two productized services:

• The Audit: a paid diagnostic engagement that includes a series of interviews across your team, an opportunity-mapping analysis, a one-page written readout, and a recommended scope of work for any Setup modules.
• The Setup: a focused implementation engagement. Each Setup is one bottleneck fix (e.g., Voice AI, Inbox, Owner OS). Setups are scoped, priced, and contracted on a per-engagement basis following the Audit.

Pricing for Setups is a starting floor; final pricing is determined after the Audit based on each engagement's specific complexity. The Audit is priced by turnaround: $2,500 for a two-week turnaround or $5,000 for a one-week turnaround. Availability is limited.

3. Engagement Scope and Deliverables

Each Setup engagement is governed by a written scope of work ("SOW") that names the deliverables, timeline, payment terms, and ongoing-support obligations (if any). The SOW takes precedence over these Terms for any conflicts specific to that engagement.

Subscription Setups (e.g., Voice AI Setup) include a recurring fee that covers vendor passthroughs, monitoring, support response within the agreed window, and minor adjustments. Recurring fees do not include net-new feature work, which is scoped separately.

4. No Guarantees

The Audit, debrief, and Setups are advisory and implementation services. We work in good faith to recommend and build systems that fit your business shape, but business outcomes depend on factors outside our control (your execution, market conditions, third-party vendor availability, etc.). We make no guarantees of revenue, traffic, conversion, retention, or any other commercial outcome.

5. Intellectual Property

For Setup engagements, you own the systems, automations, content, and configurations we build specifically for your business. AutoJate retains rights to its proprietary methodology, frameworks, templates, internal tooling, and any reusable patterns developed in the course of work. Methodology and internal tooling are not transferred under a Setup deliverable unless the SOW expressly provides for it.

6. Confidentiality

We treat your business information, customer data, and operational details as confidential. We will not share confidential information with third parties except as required to deliver the Setup (e.g., configuring your CRM or voice agent vendor) or as required by law.

Anonymized case-study material may be referenced in marketing only with prior written consent or in a fully de-identified form.

7. Payment Terms

Setup engagements require a deposit before work begins, with the remaining balance due per the SOW's payment schedule. Subscription fees are billed monthly in advance. Late payments may result in suspension of service or pausing of the engagement. All fees are non-refundable once the work milestone they cover has begun, except as expressly provided in the SOW.

8. Termination

Either party may terminate an engagement with reasonable written notice as specified in the SOW. Upon termination: (a) you remain responsible for fees earned or accrued through the termination date, (b) we will deliver work product completed through that date, and (c) confidentiality and IP provisions survive termination.

9. Limitation of Liability

To the maximum extent permitted by law, AutoJate's total liability for any claim arising from the use of the site or services is limited to the fees paid by you to AutoJate in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or special damages, including lost profits or lost data.

10. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Texas.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date above. Continued use of the site or services after a change constitutes acceptance of the updated Terms.
